Ondas has acquired three defence technology businesses – Insignito, Ottopia Defense and Caribou Labs – in a deal aimed at expanding its autonomous defence systems portfolio.
The three acquisitions add capabilities in acoustic drone detection, resilient communications, remote operation and GNSS-denied navigation.
Insignito provides passive acoustic sensing for detecting, classifying, tracking and locating drones, including small FPV systems and RF-silent platforms. Its DUMBO system has been deployed in conflict environments, according to Ondas, and is designed to complement radar, RF and electro-optical sensors in counter-uncrewed aerial systems (C-UAS).
Ottopia Defense provides communications and remote-control software for unmanned platforms. Its technology combines AI-enabled autonomy, low-latency teleoperation and resilient communications, allowing operators to supervise multiple unmanned systems while retaining the ability to intervene directly.
Caribou Labs develops resilient communications and positioning technology for GNSS-denied environments. Ondas said its capabilities will be integrated into its autonomous platforms to provide positioning, timing and communications when satellite navigation or digital infrastructure is disrupted.
Ondas said the technologies will be integrated across its existing portfolio, including its C-UAS systems and unmanned ground vehicles.
The company acquired the three businesses for aggregate consideration of USD56 million, payable in cash or Ondas common stock. The transactions also include potential earn-out payments of up to USD32 million through 2028, subject to performance milestones.
